Perion Acquires PRN Retail Media Network From Stratacache

Perion Network has acquired PRN, the in-store retail media network previously owned by Stratacache, in a deal worth up to USD 12 million in cash at closing. The sale marks the end of Stratacache's ownership of PRN, which it had held since 2015 when it bought the business, then called IZ-ON Media, from Technicolor.

For operators and buyers in the space, the deal matters because it consolidates a sizeable chunk of North American in-store screen inventory under a company, Perion, that is primarily an ad-tech and digital advertising firm rather than a signage hardware or software vendor. Perion says PRN's footprint includes a top warehouse club's 4K TV network across more than 750 North American locations, a top big-box retailer across more than 4,500 stores, and a national healthcare retailer across more than 2,200 stores.

According to Perion, the acquisition lets it fold DOOH, in-store retail media, CTV, commerce and social into what it calls a single execution layer, so a brand can plan an in-store screen buy the same way it plans a TV or social campaign. Perion CEO Tal Jacobson said the deal is "strategic, synergetic and profitable from day one" and gives the company access to point-of-purchase budgets that have not historically been bought programmatically. PRN CEO Kevin Carbone, who has run the company since 2012, said retailers keep the same control over what runs in their stores while Perion brings demand and execution.

The financial terms disclosed are modest relative to Perion's overall business: up to USD 12 million cash, with PRN expected to contribute about USD 3 million to Perion's Adjusted EBITDA in 2027 before any synergies are counted, and no material impact expected on Perion's 2026 outlook. The announcement frames the deal as accretive from closing and notes the all-cash structure avoids earn-outs or other post-closing contingencies.

The sale comes as Stratacache has been under financial pressure. DailyDOOH notes that in the UK, Stratacache and its PRN subsidiary appointed insolvency practitioners from S&W Partners in May to wind up the firms there, suggesting this transaction covers the North American PRN business only. The announcement does not say what happens to PRN's operations or contracts outside North America, or whether any staff changes are planned beyond Perion's stated welcome to "the talented team of PRN."

For advertisers and retail media buyers, the practical question is how quickly Perion can make PRN's screen networks programmatically addressable, something the release describes as a longer-term goal rather than something available at close. For signage and retail media operators watching Stratacache's broader restructuring, this sale is likely to be read as one more sign of the company shedding assets rather than a one-off transaction.

StrappedForCash’s financial troubles were never going to go away or be resolved quickly and news came in this week that Perion (NASDAQ & TASE: PERI) has acquired PRN. STRATACACHE had owned PRN since July 2015 (when it acquired what was then called IZ-ON Media from Technicolor (Euronext Paris: TCH; OTCQX: TCLRY)).

Perion hopes to attract larger advertiser budgets and accelerate growth across both the Retail Media and DOOH channels by scaling Perion’s digital suite directly into exclusive point-of-purchase environments, extending its solutions through to the final layer before purchase.

Over time, Perion expects to leverage programmatic execution to in-store retail media, operating within the rules each retailer sets for content, frequency and store experience. With PRN, Perion’s offering spans programmatic Digital-out-of-home (DOOH), commerce, social, in-store retail media, CTV and direct demand relationships, within a single execution layer.

By combining PRN’s established retail footprint with Perion’s digital scale, the acquisition is intended to advance four strategic priorities:

Multi-vertical and geographic expansion: Point-of-purchase media across warehouse club, pharmacy, consumer electronics and grocery environments; including a top warehouse club’s 4K TV network across 750+ warehouse club locations in North America, a top big-box retailer across 4,500+ stores, and a leading national healthcare retailer across 2,200+ stores. The footprint gives Perion direct access to advertising’s highest-spending verticals: Commerce, CPG and Health Care.

Exclusive in-store retail media inventory: Adding exclusive, multi-year inventory agreements with national-scale tier-1 retailers across warehouse club, big-box, and healthcare retail.

Last-mile to point-of-purchase precision: Combining Perion’s programmatic DOOH footprint with PRN’s in-store network to reach shoppers across the full last mile, from the commute to the shelf, placing brands in front of shoppers as they compare products and make final purchase decisions.

Retail media market expansion: Opening access to net-new advertiser budgets within the $70B+ U.S. retail media market. The larger opportunity is in-store’s role as the closing layer on full-funnel campaigns.

Perion brings the demand and the execution to make that possible, while retailers keep the same control over what runs in their stores.” . Kevin has been with PRN since 2012 .

The transaction terms are up to USD 12 million in cash paid at closing, subject to customary purchase price adjustments with cash free and debt free. The acquisition is expected to contribute approximately USD 3 million to Adjusted EBITDA in 2027 before taking into account any synergies. The acquisition is expected to be accretive from closing and is not expected to have a material impact on the Company’s full-year 2026 outlook.

The all-cash consideration eliminates post-closing contingencies and complexity, allowing Perion to focus resources immediately on integration and value creation.

In the UK STRATACACHE and their subsidiary PRN appointed Mark Supperstone and Simon Jagger of S&W Partners back in May to lead the winding-up of the firms so no doubt this is jut a North American deal.
