Perion Acquires PRN as Stratacache Continues Selling Off Assets

Israeli adtech company Perion Network has acquired Premier Retail Networks (PRN) from Stratacache in an all-cash deal valued at up to USD 12 million, according to the companies. The sale is the latest asset to leave Chris Riegel's Stratacache group, following the sale of digital signage software provider Scala to Vertiseit and the closure of Stratacache's UK and Canada operations.

PRN is one of North America's longest-running in-store retail media operators, running exclusive multi-year media partnerships with several tier-one retailers. Stratacache bought PRN from Thomson Technicolor in 2015. It will now operate under the name Perion Retail Networks, and Perion says existing retailer and advertiser relationships are expected to continue without disruption.

For operators and vendors watching the Stratacache breakup, PRN's inventory gives a sense of scale: a warehouse club's 4K TV network across more than 750 locations, a big-box chain with over 4,500 stores, and a national healthcare retailer with more than 2,200 locations. Perion says the deal is expected to contribute approximately USD 3 million in adjusted EBITDA by 2027, before synergies, calling it a relatively low-cost entry into premium retail media inventory.

What Perion is buying it for

Perion already has programmatic DOOH, connected TV, social and commerce advertising capabilities, including through its earlier acquisition of Hivestack. PRN fills what Perion describes as a gap in physical retail, where the company notes more than 80 percent of U.S. retail transactions still happen. The stated ambition is to connect its programmatic DOOH platform with PRN's in-store screens so brands can run campaigns across the full path to purchase, from awareness to the point of sale.

Perion also says it plans to bring programmatic buying into in-store environments over time, while retailers keep control over content, frequency and the customer experience in their stores. PRN CEO Kevin Carbone said in a statement that marketers want to plan in-store advertising the way they plan other channels, and that Perion brings the demand and execution to do that.

The announcement does not detail what happens to PRN's existing technology stack, staff, or hardware partnerships, nor does it say whether Perion plans to refresh or replace screens in the network.

Another marker in the Stratacache unwind

For Stratacache, this is another high-profile divestment in what has become a steady reduction of the diversified software, hardware and media empire Riegel built over two decades. The company's longer-term plan is not stated. Each sale, from Scala to now PRN, chips away at a business that once spanned content management, managed services, hardware and media sales under one roof. Where the rest of Stratacache's portfolio ends up remains an open question for the industry.

The dismantling of Stratacache’s media and software portfolio continues. Following the sale of digital signage software provider Scala to Vertiseit and the closure of several international subsidiaries, including operations in the UK and Canada, Stratacache has now divested another key asset: Premier Retail Networks (PRN).

By integrating in-store inventory into its broader advertising stack, Perion aims to offer brands a single execution layer across CTV, social media, DOOH, commerce media and retail media networks.

Over time, the company also plans to introduce programmatic capabilities into in-store environments while maintaining retailer control over content, frequency and customer experience.

PRN CEO Kevin Carbone also emphasized the benefits of becoming part of Perion. “Marketers want to plan in-store advertising the way they plan every other channel,” Carbone said. “Perion brings the demand and the execution to make that possible, while retailers maintain full control over the store environment.”

Following the acquisition, PRN will operate under the name Perion Retail Networks. Existing retailer and advertiser relationships are expected to continue without disruption.

Another chapter in Stratacache’s transformation

For Stratacache, the sale of PRN marks another significant step in the ongoing divestment of its portfolio businesses. Once assembled as a broad ecosystem of software, hardware, managed services and media companies under founder Chris Riegel, the group has been steadily reducing its corporate footprint over the past several months.
