oOh!media Agrees to $898M Acquisition by I Squared Capital

oOh!media Limited, one of Australia's largest out-of-home and digital-out-of-home operators, has agreed to be acquired by I Squared Capital, a global infrastructure investment firm. The two sides have entered a binding Scheme Implementation Agreement under which an I Squared-controlled entity called OOH BidCo Pty. Ltd. will buy 100% of oOh!media's shares.

For anyone running networks or buying media on Australian screens, this is a significant ownership change at one of the country's biggest DOOH players. oOh!media operates a large footprint of roadside, retail, transit and place-based digital signage across Australia and New Zealand, so a change in ownership structure could eventually affect investment priorities, sales strategy or how the company approaches technology partnerships. oOh!media Limited (ASX:OML) has advised that it has entered into a binding Scheme Implementation Agreement (SIA) with OOH BidCo Pty. Ltd. (BidCo), an entity owned and controlled by funds managed and/or advised by I Squared Capital and its affiliates, descrivbed as a leading independent global infrastructure investor.

Under the SIA, BidCo will acquire 100% of the fully paid ordinary shares in the issued share capital of oOh! for total consideration of $1.70 cash per Share, comprising scheme consideration of $1.68 cash per Share (Scheme Consideration) by way of a scheme of arrangement (Scheme) and an interim fully franked 1H 2026 dividend of 2.00 cents cash per Share which the oOh! Board has determined to pay.

The total consideration of $1.70 cash per Share implies an equity value for oOh! of approximately $898 million and an enterprise value for oOh! of $1.04 billion.
