Lamar Advertising Acquires AdSource Outdoor, Adds 30 Digital Billboards

Lamar Advertising has acquired the assets of AdSource Outdoor Advertising, adding more than 230 billboard faces in Louisiana to its network, including 30 digital displays. The deal closed on August 12, according to Lamar.

For operators watching consolidation in the out-of-home space, the size of the deal is modest compared to Lamar's overall footprint of more than 359,000 outdoor advertising displays across the US and Canada. But the structure of the transaction is the more interesting part of the story.

Lamar structured the acquisition as an UPREIT, or Umbrella Partnership Real Estate Investment Trust, transaction. Rather than a straight cash sale, AdSource contributed its billboard assets to Lamar Advertising Limited Partnership, the operating partnership that holds Lamar's assets, in exchange for common units in that partnership.

Those units track the value of Lamar's Class A common stock and pay equivalent cash distributions. Unit holders can later convert them into cash or Lamar Class A shares. According to Lamar, this lets it issue partnership units to billboard owners on a tax-deferred basis when completing acquisitions.

Lamar says it sees the UPREIT structure as a potential model for further deals with billboard owners who want to diversify their holdings while keeping exposure to the outdoor advertising business.
