Singapore-based Affle International is acquiring adtech company Perion in an all-cash deal valued at US$420 million, a transaction that puts two digital-out-of-home and retail media assets under new corporate ownership: Hivestack and PRN.

Perion will become a wholly owned subsidiary of Affle but will keep its brand name, according to the companies. The deal includes US$228 million in cash and cash equivalents already held by Perion. Shareholders will receive US$11.70 per share, a 34.5 percent premium over Perion's closing price on October 30.

For signage operators and retail media buyers, the deal matters because of what Perion has assembled over the past few years. It acquired DOOH platform Hivestack three years ago and more recently bought retail media specialist PRN from Stratacache, building out what it calls the Perion One platform strategy across retail media, connected TV, DOOH and other digital channels.

Affle, which focuses on consumer mobile marketing technology, says it wants to combine that mobile reach with Perion's channel footprint. Tal Jacobson, Perion's CEO, said the companies see potential in bringing the capabilities together to create opportunities for brands, agencies and media owners. Affle's chairperson, managing director and CEO Anuj Khanna Sohum said the combination would help unlock ROI for advertisers and publishers and drive scale across e-commerce, retail and healthcare verticals.

The announcement does not spell out what happens operationally to Hivestack or PRN under the new structure, nor does it detail staffing, product roadmaps, or how the DOOH and retail media businesses will be integrated with Affle's mobile stack. Those are the questions screen operators and media owners working with either platform will want answered as the deal moves forward.

The transaction is expected to close in early 2027 and remains subject to conditions including approval by Perion's shareholders.
